This Civil Suit is preferred,under Order VII Rule 1 CPC and under Order IV Rule 1 of O.S.Rules read with Sections 51, 55 and 62 of the Copy Right Act, 1957 and prays for a permanent injunction restraining the defendants, their men, agents, servants, assigns, heirs, representatives, successors, assigns, heirs, representatives, successors, affiliates or any other persons claiming through /under them from in any manner publicly performing or communicating the sound recordings works of the plaintiff to the public or allowing their premises or any premises under their control to be used for the said purpose without license from the plaintiff or in otherwise infringing copyright in any work owned and licensed by the plaintiff; costs of the suit and pass such further or other orders as this Hon'ble Court may deem fit and property in the circumstances of the case and thereby render justice.

Mr.P.V.Balasubramanian of M/s. BFS Legal Law Firm is before this Commercial Division on behalf of the sole plaintiff. Mr.Najeeb Usman Khan, learned counsel on record for both the defendants is before this Commercial Division.
2.To be noted, first defendant, which is a private limited company, ie.,VVT Hotels Private Limited, I am informed, runs second defendant, which is a Hotel. The suit pertains to copyright, which the plaintiff company claims in sound recording, which are in the nature of songs in Cinematographic Film. The list of songs forming subject matter of the suit in which the plaintiff company claims copyright is adumbrated in the schedule to the plaint. I deem it appropriate to extract the said schedule, I do so and the same reads as follows:

3.The case of the plaintiff as to how they acquired copyright in the aforesaid songs is articulated in paragraphs 4, 5, 6, 7 and 8 of the plaint and the same read as follows: 4. The Plaintiff Company was incorporated in the year 2002 and is dealing in the business of issuing licenses and protection of copyrights subsisting in sound recordings of the songs contained in films as an assignee, licensee or authorized agent of various copyright holders. The Plaintiff Company has been licensing sound recordings for all forms of exploitation of copyright in sound recordings except the manufacture and sale of physical copies like vinyl discs, audiocassettes and currently compact discs. The rights of the Plaintiff as an assignee of the copyright holder extend to the issuing of licenses on behalf of the copyright holder in respect of the copyrighted works assigned to it, for the performance in hotels and restaurants and other avenues for communication to the public.
5.The Plaintiff Company in pursuance of its business of issuing licenses and protection of the copyrights licensed to it has entered into Assignment Agreements with (1) M/s.ZEE Entertainment Enterprises Limited (hereinafter for the sake of brevity referred to as ZEE); (2) M/s.Eros International Medial Limited (hereinafter for the sake of brevity referred to as EROS) and (3) M/s.Shemaroo Entertainment Limited (hereinafter for the sake of brevity referred to as SHEMAROO) and has acquired rights in the on ground public performance of sound recordins of the songs contained in the films of said companies. The Plaintiff company is also appointed by M/s.Yash Raj Films Private Limited (hereinafter for the sake of brevity referred to as YRF) as its authorized agent as per provision of Section 30 of The Copyright Act, 1956 (as amended) for identifying opportunities for the exploitation of the Ground Licence Rights and usages of sound recordings and underlying works in any public avenues with respect to the songs(s) to enable said company to enter into Third Party Agreements throughout the Territory. Further, said YRF has also acknowledged that Plaintiff shall be free to develop a business strategy in order to exploit the licensing opportunities for the exploitation of Song(s) of said company. By virtue of these Assignment Deeds and Agency agreement, the Plaintiff has been assigned /authorised the right to license the copy right in respect of the On Ground Performance Rights referred to in Section 14(a)(iii) of the Copyright Act on behalf of the copyright holder in respect of its entire repertoire of songs contained in the films for which the rights have been assigned to the plaintiff. Therefore, the entire copyright with respect to the exploitation of on Ground Performance Rights in the schedule mentioned sound recordings has been exclusively assigned in favour of the plaintiff hereby the original copyright holder.
6.The plaintiff states that the On Ground Performance Rights transferred and assigned to the plaintiff are inclusive of the (a) the right of performing the sound recording in public (b) the right to communicate the sound recording to the public by making available for being seen or heard or otherwise enjoyed by the public directly or through any means of display or diffusion regardless of whether any member of the public actually sees, hears or otherwise enjoys the work so communicated or made available. The scope of the term On Ground Performance Rights is inclusive of any communication of the sound recordings by playback through any device allowing for such playback to the public during and for the purposes of any ground live events or programs in commercial establishments such as discotheques, banquet halls, clubs, hotels, restaurants, as well as playing of such sound recordings as a background in any on ground live events, parties, etc. The On Ground Performance rights shall exclude any broadcast meant for the public in general by means of radio, television, webcasts, Digital Cable, DTH, Satellite Transmission, Internet, Mobile etc., and shall also exclude performance of any underlying works.
7.The Plaintiff states that its repertoire in this regard for which such exclusive On Ground Performance rights have been tranferred and assigned in its favour by the copyright owners consists of large numbers of songs from the film as well as non-film genre in Hindi and several regional languages many of which are extremely famous and popular songs frequently placed in hotels, discotheques, musical events and live shows and programs. A list of songs for which the execlusive rights have been granted in favour of the plaintiff by virtue of respective agreements with Zee, YRF, Eros and Shemaroo are more fully described in the schedule hereunder.
8.The plaintiff in its capacity as the Assignee/Authorised Agent of the Copyright holders along with the original Copyright holders, Zee, YRF, Eros and Shemaroo have taken the following steps inter alia to enable users of the sound recordings in the copyrighted works to determine the complete details of the ownership in copyright subsisting therein. A list of the music labels in respect of which the On Ground Performance rights are vested with the Plaintiff have been made available on the website of the Plaintiff as well as the Copyright Owners, respectively. Moreover, in compliance with Section 52A(1) of the Copyright Act, each physical copy of a sound recording available in the market contains complete details of the ownership of the copyright subsisting therein. Therefore, users of the sound recordings are enabled to identify whether the sound recording falls within the copyright owner's repertoire merely by checking the name of the record label (which is prominently displayed on each CD or other physical format) against the list available on the website.
4.Suit is predicated on the complaint that the plaintiff came to know that the defendants are organizing events in which the aforesaid songs, which shall hereinafter be referred to as "suit songs" are to be played.
5.The plaint is predicated on the ground that the playing of the aforesaid suit songs by the defendants in events in the second defendant Hotel run by first defendant company amounts to infringement of plaintiff's copy right. Under such circumstances, defendants, who have entered appearance, have filed an affidavit which reads as follows:
I, Subba Raman Padur Krishnan, son of P.S.Krishna, Hindu aged about 52 years, residing at F-1 Safari Apartments, Kamatchi Nagar, Valsarvakkam, Chennai-600 087, do hereby solemnly affirm and state as follows:
(i) I State that I am a director/authorised signatory of both the 1st and 2nd Defendants herein and I have been authorised by the Board of Directors of both Defendants to represent them in legal matters.
(iii) I state that the above suit has been filed for a permanent injunction restraining the Defendants, their men, agents, servants, assigns, heirs, representatives, successors, affidavits or any other persons claiming through/under them from in any manner publicity performing or communicating the sound recordings works of the plaintiff to the public or allowing their premises or any premises under their control to be used for the said purpose without license from the plaintiff or in otherwise infringing copyright in any work owned and licensed by the plaintiff.
(iv) I state that the Defendants have received suit summons in the above suit and have also been served by counsel for the plaintiff with a copy of the interim order dated 22.12.2017 passed by this Hon'ble Court.
(v) I state that both the Defendants have not played the songs/sound recordings which are the subject matter of this list and have no desire or intention to play the same. However, if at any point of time the Defendants wish to play the same they will do so only after obtaining licence from the plaintiff.
I therefore pray that this Hon'ble Court may be pleased to take this affidavit on file and treat the same as an affidavit of undertaking and as such dispense with compliance of para 1 of the order dated 22.12.2017 passed by this Hon'ble court regarding deposit since the Defendants have never played the songs/sound recordings which are the subject matter of this suit much less on the dates mentioned in the Plaint and dismiss the suit on the preliminary ground that there is no cause of action for the same and thus render justice.
6.To be noted, this affidavit, is dated 21.03.2018.
7.Further to be noted, paragraph no.5 of the aforesaid affidavit is of utmost relevance, as the defendants have very clearly stated that they have not played the suit songs or sound recordings, which is subject matter of the instant suit. Most importantly, defendants have also gone as far as saying if at any point of time they wish to play the same, they will do so only after obtaining license from the plaintiff.
8.This, in effect puts an end to the entire controversy in this lis. In the light of the aforesaid stated position of the defendants, I am of the view that this is a fit case for a summary judgment under Order XIII-A of the Code of Civil Procedure, 1908 ('CPC' for brevity), as amended by the Commercial Courts, Commercial Division and Commercial Appellate Division of High Courts Act, 2015 (4 of 2016). The grounds for summary judgment are adumbrated in Rule 3 of Order XIII-A of CPC, as amended by the Act 4 of 2016.
9.A perusal of the grounds for the summary judgment reveals that summary judgment can be passed when either the plaintiff/s has/have no real prospect of either succeeding qua the claim or when the defendant/s has/have no real prospect of successfully defending the claim. I deem it appropriate to extract Rule 3 of Order XIII-A of CPC, as amended by Act 4 of 2016 and the same reads as follows:-

3.Grounds for summary judgment : The Court may give a summary judgment against a plaintiff or defendant on a claim if it considers that:
(a)the plaintiff has no real prospect of succeeding on the claim or the defendant has no real prospect of successfully defending the claim, as the case may be; and
(b)there is no other compelling reason why the claim should not be disposed of before recording of oral evidence.
10.In the instant case, in the light of the stand taken by the defendants particularly in the light of the paragraph 5 of the affidavit dated 21.03.2018, which has been alluded to supra, the defendants have no real prospect of successfully defending the claim.
11.To be fair to the defendants, it is the case of the defendants that they do not want to join issues as they have neither infringed plaintiff's copyright nor intend to do so. Defendants have taken a very fair stand, which has lead to the conclusion I have made qua Rule 3 of Order XIII-A extracted supra.
12.An unnumbered paragraph, which follows paragraph 32 of the plaint is the prayer paragraph. I deem it appropriate to extract that unnumbered paragraph (prayer paragraph), which reads as follows:
For all the reasons stated above, it is most respectfully prayed that this Hon'ble Court may be pleased to pass a judgment and decree:
a.For a permanent injunction restraining the defendants, their men, agents, servants, assigns, heirs, representatives, successors, affiliates or any other persons claiming through/under them from in any manner publicly performing or communicating the sound recordings works of the plaintiff to the public or allowing their premises or any premises under their control to be used for the said purpose without license from the plaintiff or in otherwise infringing copyright in any work owned and licensed by the plaintiff.
b.Costs of the suit; and c.Pass such further or other orders as this Hon'ble Court may deem fit and proper in the circumstances of the case and thereby render Justice.
13.A perusal of the prayer in the plaint would reveal that sub-paragraph (a) of the unnumbered paragraph is answered in favour of the plaintiff in the light of the stand taken by the defendants.
14.Sub-paragraph (b) pertains to costs.
15.In the light of the very fair stand taken by the defendants and the fair submissions made by Mr.Najeeb Usman Khan, learned counsel appearing for the defendants, I am of the view that this is not a fit case for awarding costs. Therefore, there shall be no costs.
16.With regard to sub paragraph (c), it is only a residuary limb of the prayer and in the light of the summary judgment which is being passed, there is no need or necessity to pass any further order under the residuary limb of prayer in this suit.
17.Though obvious, it is made clear that this is a summary judgment under Order XIII-A of CPC, as amended by the Act 4 of 2016 without oral evidence.
