On consideration of the pleadings and evidence on record and particularly relying on the judgments in case of OL Vs. Raghava Desikachar (supra), OL Vs. Kevasaju Tehmures Modi (supra), Security Finance Private Limited Vs. B.K.Bedi (supra), I am of the considered view that no case of misfeasance, malfeasance or breach of trust is made out against the respondents Pawan Kumar Lath and Bimal Kumar Lath Ex-Directors of the company in liquidation. Consequently issue No.7 is decided in favour of the respondent directors and against the Official Liquidator.

The Official Liquidator vs Raghava Desikachar & Ors on 23 August, 1974

The case of the respondent directors is that no case under Section 543 of the Act of 1956 is made out. Allegations levelled against the respondents are vague, general in nature, not specific about incidences and against individual directorswhich is contrary to the provisions of Section 543 of the Act of 1956. Reliance has been placed on the judgment of the Apex Court in case of Official Liquidator Vs. Raghava Desikachar [(1975)45 Com. Cases 136] wherein it was held in the context of Section 543 of the Act of 1956 proceedings that the application should contain a detailed narration of the specific acts of commission and omission on the part of each director quantifying the loss to the company arising out of such acts or omissions.
