                                                 O R D E R

Parties have settled the matter on the following terms: Signature Not Verified

1. Smt. Chhaya Devi would tender a written resignation to Digitally signed by NIDHI AHUJA Date: 2017.12.05 15:48:24 IST Reason: the Company within one week of giving statement in the Hon'ble Supreme Court. The resignation would be 1 SLP (C) No. 31747/2017 w.e.f.31.12.2017.
2. Smt. Chhaya Devi would withdraw the following proceedings:
(a) CS(OS) No. 225/2017 titled as “Smt. Chhaya Devi & Anr. v. Smt. Rukmini Devi” pending in the High Court of Delhi.
(b) CS(OS) No. 233/2017 titled as “Smt. Chhaya Devi & Anr. v. Sh. Jyoti Kumar Arya & Ors.” pending in the High Court of Delhi.
(c) CS(OS) No. 285/2017 titled as “Smt. Chhaya Devi & Anr. v. Smt. Rukmini Devi & Ors.” pending in the High Court of Delhi.
(d) I.A. No. 217/K/2017 filed by Smt. Chhaya in Company Petition No. 136/2014 before NCLT, Kolkata Bench.
(e) Crl.M.A. No. 14859/2017 filed by defendant Nos. 1 and 2 in CS(OS) No. 233/2017.

3. Sh. Jai Kumar and others would withdraw the following proceedings:

(a) FAO (OS)No. 179/2017 titled as “Jai Kumar Arya & Ors. v. Smt. Chhaya Devi & Anr.” pending in the High Court of Delhi.
(b) FAO (OS) No. 180/2017 titled as “Jyoti Kumar Arya & Anr. v. Smt. Chhaya Devi & Anr.” pending in the High Court of Delhi.

4. Smt. Chhaya Devi alone would not sign any cheque on 2 SLP (C) No. 31747/2017 behalf of the Company or take any decision with respect to the Company without consent of atleast two other Directors of the Company namely Smt. Rukmini Devi and Sh. Amit Kumar w.e.f. 04.12.2017.

5. No assets of the Company would be removed or sold or disposed of without the consent of the Board of Directors of the Company.

In view thereof, this special leave petition stands disposed of.

Needless to mention, since the parties have peacefully and amicably resolved their disputes, no party shall take any advantage of the observations made in the impugned judgment against the other party.

The interim orders shall also stand vacated on the withdrawal of the suits.
