1 The present petition under Section 391 read with Section 394 of the Companies Act, 1956, has been preferred, seeking sanction of this Court for the Scheme of Amalgamation of Echjay Overseas Trade Private Limited, Hari Mahavin Investment Private Limited, Samarath Doshi Investment Company Private Limited Vinodchandra Doshi Investment Company Private Limited and and V.H.Doshi & Sons Investment Company Private Limited with Echjay Industries Private Limited.

2 It is stated on behalf of petitioner that
earlier, the petitioner had filed Company Application No. 369 of 2015, seeking dispensation of the meeting of Equity Shareholders on the ground that consent of all the Equity Shareholders of the company has been obtained and produced on record. It is submitted that there are no creditors of the petitioner Company. By an order dated 30.11.2015, passed in Company Application No. 369 of 2015, this Court directed dispensation of the meeting of Equity Shareholders of the petitioner company.
3 It is further stated on behalf of the petitioner that the Company is registered NBFC with RBI and Company has obtained No Objection Certificate from the Reserve Bank of India (RBI) for the proposed merger in compliance with RBI circular dated DNBR (PD) CC.No. 065/03.10.001/201516 dated July 9,2015. 4 Heard Mr. Navin K Pahwa, learned Advocate for the petitioner.

6 Notice to the Central Government, through the
Regional Director, ROC Bhavan, Opp. Rupal Park Society, Behind Ankur Bus Stop, Naranpura, Ahmedaba380013. Notice is also directed to be issued upon the Official Liquidator with direction to appoint a Chartered Accountant for the preparation and submission of the report at the cost of the petitioner.
7 Notice of the hearing of the petition to be published in the English Daily Newspaper "Indian Express" and the Gujarati Daily Newspaper "Lok Satta Jan Satta", having circulation in Rajkot. The petitioner company is permitted to publish a common advertisement together with other Transferor companies and the Transferee company. The publication of notice in the Government Gazette is dispensed with. 8 The final hearing of petition is fixed on 18.01.2016.
