1. This order is in two parts. The first part deal with the disputes as between Tata Capital Financial Services Ltd ("TCFS") and the 1st Respondent Talwalkars Health Clubs Ltd ("Talwalkars").
2. After I made an order of 19th December 2019, Talwalkars carried that order in Appeal. That Appeal was dismissed on 8th January 2020. It reads:
"1. The Appellant shares a relationship with the Respondent as that of as lessee of equipment owned by the Respondent. The equipment is wide and varied; to be used in a gymnasium. The Appellant concededly is in default of the lease rental payable from the month of July, 2019 onwards.
2. It is settled law that if a lessee of a movable property is in default of payment of the lease rental, the owner is entitled to resume possession of the movable property if the lease agreement between the parties so stipulates.
3. The lease agreement between the parties contemplates a resolution of dispute before an Arbitrator and this necessitated the Respondent to approach the Page 2 of 18 14th January 2020 ::: Uploaded on - 15/01/2020 ::: Downloaded on - 16/01/2020 00:10:22 ::: 3-IA1-20.DOC learned Single Judge of this Court for a measure under Section 9 of the Arbitration and Conciliation Act 1996. Needles to state the measure was to appoint a Receiver to take possession of the leased equipment in respect whereof there was a continuous default in payment of monthly lease rental commencing from July, 2019.
4. Noting that the Appellant has installed the equipment at 103 locations across the country and that approximately 40 gyms are closed, the impugned order has been passed directing the Receiver appointed to access the gym where the Appellant has not been prevented from the owner of the premises to access the same and seize the equipment.
5. We find no infirmity in the impugned order.
6. The argument of the Appellant that the Appellant is currently awaiting a restructure of the debt under the RBI circular is of no help to the Appellant for the reason the restructure cannot embrace the leased equipment and the right of the Respondent as owner thereof to take possession.
7. The Appeal is dismissed in limine.
8. Interim Application No. 1 of 2020 does not survive and is disposed of."
3. Therefore, I now have two distinct situations in regard to the TCFS-owned gym equipment leased to Talwalkar. Some of it is in gyms that are operational. That equipment is covered by the previous order. That process is going on and will continue uninterrupted.

4. The second aspect is that there is TCFS-owned gym equipment leased to Talwalkars lying in some 40 gyms across the country, and which gyms are closed because of disputes between Talwalkars and the licensors of the various premises. I understand that these disputes are chiefly in relation to payment of license fees. Those licensors have prevented Talwalkars from accessing those gyms. This necessarily means that TCFS also cannot access those gyms although its equipment is within those premises.
5. I called for a further Affidavit from Talwalkars. This Affidavit is tendered. It is dated 14th January 2020. It is from pages 294-318. It has a tabulation not only of these 40 closed gyms across the country with particulars of the full addresses, names of the licensors and address of the licensors but also, and most helpfully, what is said to be a complete inventory of TCFS-owned gym equipment at each of these 40 locations.
6. Obviously, none of the licensors are parties before me and it is not possible to join 40 or 80 persons as respondents.
7. I have already appointed officers of TCFS as private Receivers. They are now requested, citing this order and producing an ordinary copy of it, to write to each of these licensors stating clearly that they have been authorized and empowered by this Court to take possession of -- but only of -- the gym equipment that is owned by TCFS and which is lying in these 40 closed licensed premises. The Receiver will ask the respective licensors to cooperate by giving access to the TCFS representatives to visit the Page 4 of 18 14th January 2020 ::: Uploaded on - 15/01/2020 ::: Downloaded on - 16/01/2020 00:10:22 ::: 3-IA1-20.DOC gyms identified and inventory and take possession of the TCFS- owned gym equipment, and at the cost of TCFS for the present (to be adjusted later), to remove this equipment from the premises. Authorized representatives of the Talwalkars are to accompany the representatives of the TCFS Receivers at every such site visit.
8. All 40 licensors are directed to render the fullest cooperation to the Receiver (representatives of TCFS). For completeness, and so that there is not the slightest ambiguity of it, I will take a scan of pages 294 to 297, this being a list of all the 40 locations with the licensor details and annexe it to this order, so that every licensor knows that he or she or it is covered by this order.
9. It is made clear that TCFS is only resuming possession of the equipment that it owns in these closed gyms. It is not affecting the premises themselves, nor any equipment in those gyms that does not belong to TCFS.
10. TCFS is to limit itself only to that equipment which it owns. Every other piece of equipment is not to be touched. If there is any dispute or uncertainty, that equipment will be left at site and not removed though it may be separately labelled or marked. Photographs and video recordings are permitted during each exercise. A copy of the inventory done at each location is to be given to the Advocates for Talwalkars or their authorized representative at site and is also to be given to the authorized representative of the licensors in question for completeness. This is to be an on-going process.

11. Dr Saraf states that he has invoked arbitration and in fact nominated an Arbitrator. I would prefer to defer the reference to arbitration for a few weeks until the process directed in this order stabilizes so that should there be any issues cropping up, these can be addressed by the Court in this Section 9 Petition.
12. TCFS is at liberty to start selling the TCFS-owned equipment it recovers from these closed gyms. All sales need not be effected simultaneously or together or in one lot.
13. Should TCFS, as the owner and lessor, be allowed to sell the equipment? Dr Saraf says it should; it owns the equipment after all. I think he is correct. While his submission is predictably opposed, that opposition does not take into account that with every passing day the value of that equipment diminishes. It deteriorates in condition and value when unused and not maintained, apart from a routine devaluation over time. It is doubtful that the sale of even all the TCFS-owned equipment will cover all its dues. I fail to see how Talwalkars can be heard to argue that without having any concrete plan to pay arrears and to regularize its lease rental account with TCFS, it should be allowed to continue using the equipment (literally free of costs), or that TCFS should not be permitted to sell it. I have no manner of doubt that once this is sold it will necessarily have to be appropriated in accordance with law and an account rendered but that is a separate matter altogether.
14. To this extent, therefore, the order of 19th December 2019 will stand modified. 15. There is a Further Affidavit of 14th January 2020 of one Girish Nayak in relation to a supposed offer by one Indigo Infracon Private Limited to Axis Bank Limited for settlement of all dues. This takes me to the next part of the order regarding Interim Application No. 1 of 2020 by Axis Bank Limited and Interim Application No. 2 of 2020 by L&T Finance.
16. Axis Bank represents a consortium of banks that extended various loans. The total outstanding is said to be in excess of Rs. 156 crores. Axis Bank has as security a charge on the movables and what Mr Jagtiani for Axis Bank describes as 'gym equipment'. This is a non-specific description. The Interim Application seeks impleadment and permission to participate in TCFS's inventory process as also a stay on the sale of the TCFS-owned equipment. Mr Jagtiani on instructions does not press the prayer for stay of the sale, wisely realizing that it is a triumph of ambition over law. But this might also be true of the first two prayers as well. If Axis Bank and its other financial cohorts were satisfied with a nebulously- worded security -- 'gym equipment' -- without specifying what that gym equipment was, then they must take that as they find it, and cannot extend it to mean TCFS-owned equipment. Indeed, that is not even Mr Jagtiani's case. His only apprehension is that Dr Saraf should not in his enthusiasm to re-possess and sell his equipment wind up selling somebody else's. There is no basis for this apprehension at all. Dr Saraf's client, TCFS, obviously has an Page 7 of 18 14th January 2020 ::: Uploaded on - 15/01/2020 ::: Downloaded on - 16/01/2020 00:10:22 ::: 3-IA1-20.DOC inventory and record. It is the purchaser and the lessor of the equipment. This means that it has invoices, serial numbers and other material to precisely identify the equipment it owns. After all, this is a corporate entity subject to variety of audit and accounting restrictions, and every single TCFS-owned gym equipment is included in its asset inventory and listing. It carries that equipment on its books. It must. It has bought it. It must show that acquisition value and the depreciation in its books. There is, therefore, not the slightest basis for Axis Bank's apprehension, barring the fact that Axis Bank's own security suffers from imprecision. That is Axis Bank's problem and it cannot be made TCFS's problem. In any case, I have already provided that if there is any grey area regarding the identification of any particular gym equipment, that particular item is to be left alone and is not to be lifted from the site. That must suffice for Axis Bank's purpose.
17. The Interim Application by Axis Bank is dismissed. It is at liberty to file such proceedings as it thinks fit to enforce its claim in accordance with law.
18. Coming now to L&T Finance, after some arguments, and realizing that he is sailing in pretty much the same boat as Mr Jagtiani, Mr Rebello wisely does not pitch his case any higher either. L&T Finance might be slightly better placed than Axis Bank. It lent money to one OPC Asset Solutions Private Limited ("OPC"). OPC has a Master Rent Agreement with Talwalkars. In other words, OPC was renting equipment to Talwalkars. OPC then hypothecated the Page 8 of 18 14th January 2020 ::: Uploaded on - 15/01/2020 ::: Downloaded on - 16/01/2020 00:10:22 ::: 3-IA1-20.DOC equipment to L&T Finance and assigned or sold the right to receive the lease rentals to L&T Finance.
19. Thus, as Mr Kamat for Talwalkars puts it, the equipment in Talwalkars' gyms is in three 'buckets': one is equipment that belongs clearly and identifiably to TCFS. The second is equipment that belonged to OPC and now belongs to L&T Finance. The third is equipment that belongs to Talwalkars (presumably) and is claimed to be hypothecated to Axis Bank. I can see no possibility of confusion between L&T Finance which owns independently- identifiable gym equipment and TCFS-owned equipment. The fact that Talwalkars may have placed in one particular gym location equipment from different sources means nothing. TCFS is to address itself only to its own equipment and nothing else.
