(2)Any resolution on which the decision of the Board is urgently required may be circulated to the members and, if it is approved by the majority of the members of the Board, it shall be deemed to have passed as a resolution at a meeting of the Board duly convened. Such decision shall be placed before the next meeting of the Board for ratification.
