Per contra, learned AGA assisted by learned counsel for opposite party no.2, opposed the prayer and submitted that without any prior information, the applicant formed a proxy firm using the same initials and he transferred the entire assets of the earlier Company to the newly formed Company. The address of the newly formed Company and the earlier Company is the same, which also indicates the conduct of the applicant. No debentures were issued to opposite party no.2 and no dividend was paid to him.
