A   Scheme   of   Arrangement,   in   the   nature   of  Amalgamation   of   GEA   Pharma   Systems   (India)   Private  Limited (GPSIN) ("the Transferor Company") merger with  GEA Process Engineering (India) Private Limited (GPIN)  ("the   Transferee   Company")   the   applicant   Company   is  proposed   under   Sections­391   to   394,   read   with  Sections­100 to 103 of the Companies Act, 1956 ("the  Act", for short).

In this regard, the present application is filed  by   the   applicant   GEA   Process   Engineering   (India)  Private Limited (GPIN) ("the Transferee Company") the  applicant Company for merger with GEA Pharma Systems  HC-NIC Page 1 of 5 Created On Thu Dec 24 02:36:48 IST 2015 O/COMA/389/2015 ORDER (India)   Private   Limited   (GSPIN)   ("the   Transferor  Company")   with   the   prayers   made   in   the   Judges'  Summons, as below :

(a) That a meeting of the Equity Shareholders of  the   applicant   Company   be   dispensed   with   as  per consent at Annexure­D for the purpose of  considering   and   if   thought   fit,   approving  with   or   without   modification(s),   the  proposed   Scheme   of   Amalgamation   of   GEA  Pharma Systems (India) Limited (GPSIN) ("the  Transferor Company") merger with GEA Process  Engineering   (India)   Private   Limited   (GPIN)  ("the   Transferee   Company)   the   applicant  Company may be dispensed with.
(b) That   the   meeting   of   the   Creditors   of   the  applicant Company be dispensed with for the  purpose   of   considering   and   if   thought   fit,  approving   with   or   without   modification(s),  the   proposed   Scheme   of   Amalgamation   of   GEA  Pharma   Systems   (India)   Private   Limited  (GPSIN)   ("the   Transferor   Company")   merger  with GEA Process Engineering (India) Private  Limited   (GPIN)   ("the   Transferee   Company")  HC-NIC Page 2 of 5 Created On Thu Dec 24 02:36:48 IST 2015 O/COMA/389/2015 ORDER the applicant Company may be dispensed with.
