Resolution by circulation was
recognized and permitted by Section 289 of the Companies
Act, which reads:-
"289. Passing of resolutions by circulation.- No

Resolutions/Circular/Communications having been held to be
unconstitutional were void ab initio
reiterated in the latest Government Resolution on the subject, dated 25.10.2005 (although as many as 5 Government resolutions/ circulars are referred by the petitioner ... petition, petitioner has filed copies of only following Government Resolutions/ Circulars dated 21.1.1980 is at Paper Book Page 26 and dated 25.10.2005 -P.B. Page
Panchayat Shiksha
Mitra appointed or employed under the then prevalent Rules,
Resolutions, Circulars, Orders and Instructions as Panchayat
Shikshak under the Rules. In other words ... Panchayat Shiksha
Mitra appointed under the then prevalent Rules, Resolutions,
Circulars, Orders, Instructions and employed as Panchayat Shiksha
Mitra as on 1st July
referred to as "the said Act") and various
Government Resolutions / Circulars issued in that regard, upheld the
contention of the petitioners, that ... Govt. Circular No. Project-1000/C.No.27/2000/16-A,

GOVERNMENT CIRCULAR
1) As per above mentioned Government Resolution dated
resolution concerning the other Department. Such contention was never advanced before the learned single Judge when the petitions were heard.

Respondents do not have any authority or competence to pass such
circular or resolution and quashing and setting aside the impugned
circular as well ... stay the
operation, enforcement, execution and further implementation of two
circulars/resolution issued by the University dated 11.10.2009 as
reflected vide letter dated
professional services of a particular person.
8. All the Government Resolutions/Circulars/Orders which the petitioner has annexed with the petition, can be dealt with ... reservation therein would not arise at all.
