33. Pertinently, the contents of the Letter were not conjured out of thin air; but were the contents of the pleadings in the C. P. No. 143 of 2015, titled Binod Kumar Bawri & Ors vs Calcom Cement India Limited & Ors.J under Sections 397,398 402, 403 and 406 of the Companies Act, 1956 and Sections 210 and 213 of the Companies Act, 2013 before the Company Law Board, filed on or about June, 2015. The Petitioner, perceiving oppressive mismanagement in Operations and Overheads by the Dalmia group in CCIL and that the same could have an impact on its own finances, had taken legal recourse. It had also apprised the GuarantCo, a Lender Bank based in London, about its concerns and also the pending Litigation by way of this Letter.
